The President’s Corner

Our annual general meeting of the River Reach Foundation is Thursday, October 1st at 6pm in the Civic Center.

Election of officers and directors will take place along with budget approvals, upcoming projects, and amendments to our Foundation By-Laws. This is probably the most important meeting of the Foundation so please make every effort to attend. Your ideas and input are so very important so please come and make your voices heard.

Current officers who have agreed to remain in office for another term are as follows, however nominations for these offices may be made from the floor.

River Reach Foundation News

The Foundation Board of Directors holds a directors retreat twice a year, one in January and another in September. Results from both of those retreats along with the survey that was sent to the membership at large last month indicated that the Foundation might need to make some changes. At our general meeting on Thursday, October 1st some of those important changes to the River Reach Foundation will be proposed, discussed, and hopefully voted upon. In the next column you will find some major and important amendment changes to our current By-laws that has been proposed by the executive committee of the Foundation. Please read them closely as they reflect not only some major change but also how the Foundation will move forward in the future.

In other news, Riverglo will take place on Friday, December 4th and Riverfest will take place on May 21st thru May 23rd. The proposed budget for Riverglo this year is $2,500.00 and the proposed budget for Riverfest in May, 2027 is $85,000.00. The Fishing Derby was cancelled this year but
hopefully will take place on October 16, 2027 with a budget of $500.00. Membership dues remain the same and invoices will soon be sent out as a reminder to make your annual payment prior to January 1, 2027.

BYLAWS CHANGES

ARTICLE III Section 3 – Regular Meetings of the Foundation: Regular meetings of the Foundation shall be held Quarterly on the first Thursday of the months of January, April, July, and October at such time and place to be determined by the Board. (as per amendment 5 dated 1/5/2023 and amendment 8 dated 10/1/2026 of the 2019 Bylaws)

ARTICLE IV Section 2 – Number, Terms, and Qualifications: The Board shall have up to 11, but not fewer than 7 Directors. Included in the 7 to 11 members of the board, as a non-paying member, is the Director of the City of Farmington Parks and Recreation Department or a person designated by him/her. Directors must be members of the Corporation and must support the preservation of the riverine environment, recognizing that planning for multiple use development is essential. Not more than one Director shall be a student member. All directors shall be members of the Board for three year terms. There shall be no limit to the number of terms a member may serve on the Board of Directors. Any director who misses two consecutive regularly scheduled Foundation meetings shall be deemed to have resigned from the board or be removed from the Board after a 2/3 vote of the Board of Directors. (as per amendment 2 dated 7/1/2021, amendment 7 dated 3/2/2023, and amendment 8 dated 10/1/2026 of the 2019 Bylaws)

ARTICLE IV Section 3 – Election of Directors: An ad hoc nominating committee shall be responsible for nominating at least as many persons for the position of Director as there are vacancies occurring, to maintain the minimum of 7 Directors. Additional nominations may be made from the floor at the annual meeting by a majority of the members present at the meeting, if a quorum exists. If there are multiple nominees and any vacancy is not filled by a nominee receiving a majority, there shall immediately be a run-off election between the two nominees receiving the highest number of votes less than a majority. Newly elected Directors shall take office on the first of January. (as per amendment 8 dated 10/1/2026 of the 2019 Bylaws)
